Terms of Service

1. Agreement to Terms
By accessing or using services provided by AlphaCore ("we", "our", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services. These terms apply to all clients, website visitors, and users of our services.
2. Services
AlphaCore provides corporate and business IT services including, but not limited to, managed IT services, cyber security, cloud hosting, VoIP, web development, domain registration, and technical support. The specific services, scope, and pricing applicable to your engagement are defined in your individual service agreement or proposal.
3. Client Obligations
As a client, you agree to:
- Provide accurate and complete information necessary for us to deliver services
- Maintain the security of any account credentials provided to you
- Promptly notify us of any unauthorised access or security concerns
- Comply with all applicable laws and regulations in your use of our services
- Pay all invoices by the due date specified in your service agreement
4. Service Commitments
Where applicable, service commitments are defined in your individual service agreement. Our standard commitments include response time targets, average uptimes, and escalation procedures. Service credits, if applicable, are the sole remedy for service commitment failures.
5. Payment Terms
Invoices are issued monthly in advance for recurring services and upon completion for project-based work, unless otherwise specified. Payment is due within 14 days of invoice date. Late payments may incur interest at 1.5% per month on the outstanding balance.
6. Intellectual Property
All intellectual property created by AlphaCore specifically for a client as part of a paid engagement (such as custom code, configurations, or documentation) becomes the property of the client upon full payment. AlphaCore retains ownership of pre-existing tools, frameworks, templates, and methodologies.
7. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of the engagement. This obligation survives termination of the service agreement.
8. Limitation of Liability
To the maximum extent permitted by Australian law, AlphaCore's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or data loss.
9. Termination
Either party may terminate a service agreement by providing 30 days' written notice, unless otherwise specified in the individual agreement. Upon termination, we will provide reasonable assistance in transitioning services to another provider, including credential handover and data export.
10. Force Majeure
Neither party shall be liable for failure to perform obligations where such failure results from circumstances beyond reasonable control, including natural disasters, government actions, utility failures, or cyber attacks affecting third-party infrastructure.
11. Dispute Resolution
Any disputes arising from these terms or our services shall be resolved first through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation in Perth, Western Australia. These terms are governed by the laws of Western Australia.
12. Changes to These Terms
We may update these Terms of Service from time to time. We will notify active clients of material changes via email at least 14 days before they take effect. Continued use of our services after changes take effect constitutes acceptance of the revised terms.
